<h2>SECTION 2 - OUR HANDCRAFTED PRODUCTS</h2>
<p>We make every effort to provide an accurate representation of our musical instruments and bows in our online store. However, as our instruments are handcrafted from natural seasoned tonewood (including spruce and maple), slight variations in wood grain, flame patterns, and hand-applied varnish color are natural characteristics of master craftsmanship and shall not be considered product defects. We do not warrant that the appearance or tone of any products will perfectly match the rendering on your digital screen. Descriptions of products and wholesale pricing are subject to change at any time without notice at our sole discretion.</p>

<h2>SECTION 3 - ORDERS & COMMERCIAL USE</h2>
<p>When you place an order, you are making an offer to purchase. JYR reserves the right to accept or decline your order for any reason at its discretion. Your order is not accepted until JYR confirms acceptance and issues a formal confirmation or Proforma Invoice (PI).</p>
<p>Unlike standard retail stores, our services are primarily optimized for business-to-business (B2B) transactions, including music schools, conservatories, orchestras, musical instrument retailers, and international distributors. <strong>We fully support and welcome commercial resale, private labeling (OEM/ODM), and global export of our products</strong>, subject to specific wholesale agreements or PIs executed between the parties.</p>

<h2>SECTION 4 - PRICES AND BILLING</h2>
<p>Wholesale prices, volume discounts, and promotions are subject to change without notice. Unless otherwise expressly stated in writing, posted wholesale prices do not include international shipping costs, handling fee, local taxes, customs duties, or import charges. You agree to provide current, complete, and accurate purchase and account information so that we can complete your transactions and contact you as needed. We support secure B2B payment methods which will be specified during the checkout or contract phase.</p>

<h2>SECTION 5 - SHIPPING, DELIVERY, AND B2B INCOTERMS</h2>
<p>We partner with reliable international freight forwarders to ship our instruments globally via air freight, ocean freight, and express carriers (such as DHL, FedEx, UPS). All delivery dates provided are estimates only and are not guaranteed.</p>
<p>For bulk wholesale orders, shipping risks, costs, titles, and responsibilities shall be governed strictly by the international commercial terms (<strong>Incoterms, e.g., EXW, FOB, CIF</strong>) mutually agreed upon and specified in the formal Proforma Invoice (PI). For standard small-batch shipments, title and risk of loss pass to you once we deliver the products to the designated carrier.</p>

<h2>SECTION 6 - INTELLECTUAL PROPERTY</h2>
<p>Our Services, including but not limited to the "JYR" brand, trademarks, text, graphics, images, video, and audio, are owned by JYR, its affiliates, or licensors. Authorized wholesale partners and distributors are granted a non-exclusive, revocable license to use our product images and descriptions solely for marketing and reselling JYR products, provided such use maintains our brand reputation. Any unauthorized modification or deceptive use of our intellectual property is strictly prohibited.</p>

<h2>SECTION 7 - OPTIONAL TOOLS & THIRD-PARTY LINKS</h2>
<p>We may provide you with access to third-party tools (such as logistics tracking or currency converters) or links to third-party websites. We do not monitor or control these third-party services and shall have no liability whatsoever arising from or relating to your use of them. Please review their policies carefully before engaging in any transaction.</p>

<h2>SECTION 8 - RELATIONSHIP WITH SHOPIFY</h2>
<p>JYR is powered by Shopify, which provides the e-commerce platform. However, any sales and business transactions are made directly between you and JYR. Shopify assumes no responsibility or liability for any aspect of the B2B transactions, including product quality, shipping disputes, or fulfillment.</p>

TO THE FULLEST EXTENT PROVIDED BY LAW, JYR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS OR BUSINESS INTERRUPTION, ARISING FROM THE USE OF OR INABILITY TO USE OUR PRODUCTS.</p>

<h2>SECTION 14 - INDEMNIFICATION</h2>
<p>You agree to indemnify and hold harmless JYR and its affiliates from any claims, losses, or demands, including reasonable attorneys' fees, made by any third party due to or arising out of your breach of these Terms, your violation of any laws, or your improper marketing/resale of the instruments.</p>

<h2>SECTION 15 - SEVERABILITY & ENTIRE AGREEMENT</h2>
<p>If any provision of these Terms is determined to be unlawful or unenforceable, such provision shall be deemed severed, and the remaining provisions shall remain valid. These Terms, together with your specific wholesale agreements or PIs, constitute the entire commercial agreement between you and JYR.</p>

<h2>SECTION 16 - GOVERNING LAW</h2>
<p>These Terms of Service and any separate commercial agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the jurisdiction where JYR is headquartered (Zhengzhou, Henan, China), without regard to conflict of law principles.</p>
